Terms of Service

The short version. Use Kaiori for yourself. Don't harass people in the shared focus rooms, and don't try to break the service. Kaiori is early software, so expect rough edges. Your content stays yours and we don't train AI models on it. Kaiori is not medical or mental-health care. You can leave at any time and ask us to delete your data.

These Terms of Service (the "Terms") are a binding agreement between you ("you") and Kaiori ("Kaiori", "we", "us"), which operates the Kaiori mobile application and the website at kaiori.space (together, the "Service").

By creating an account, installing the app or otherwise using the Service, you confirm that you have read and accept these Terms. If you do not accept them, do not use the Service. If you accept them on behalf of an organisation, you confirm that you have authority to bind it. These Terms should be read alongside our Privacy Policy, which explains how we handle personal data.

1. Eligibility and your account

You may create an account only if you are at least 16 years old, or have reached the minimum age at which you can lawfully consent to the processing of your personal data in your country, whichever is higher. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or guardian who accepts these Terms on your behalf and who is responsible for your use of it. Kaiori is not directed to children, and we may suspend any account we reasonably believe was created in breach of this clause.

You are responsible for the accuracy of the information you give us, for keeping your Google sign-in and your device secure, and for all activity that occurs under your account. Tell us promptly at hi@kaiori.space if you think your account has been compromised.

Accounts are for one person each. We may refuse or close accounts that appear to be duplicated, automated, or created in breach of these Terms.

2. Early access and beta features

Kaiori is distributed as a private early-access build. Features may be added, changed, reduced or withdrawn; the Service may be unstable or unavailable; and defects may result in the loss of data you have stored in it. During early access we do not commit to any minimum level of availability, and we do not offer service-level credits.

We use reasonable care to protect your data, but you should not rely on Kaiori as the only record of anything important to you. Where a change would materially affect how the Service works, we will try to tell you in advance.

3. Your content

You keep all ownership of the text, goals, reflections, notes, progress records and other material you submit to the Service ("Your Content").

To run the Service you grant Kaiori a limited, non-exclusive, royalty-free, worldwide licence to host, store, copy, transmit, display and process Your Content solely as needed to provide the Service to you — including syncing it across your devices and producing the summaries, insights and reflections the Service generates for you. Where you choose to make content visible to others, such as a display name, an avatar or a message in a shared focus room, the licence extends to showing that content to the other participants in that room. The licence ends when you delete the content or close your account, except that copies may persist in routine backups until those are deleted on our normal rotation.

We do not use Your Content to train machine-learning models, and we do not sell or publish it.

You are responsible for Your Content and confirm that you have the rights necessary to submit it.

4. Our intellectual property

The Service — including the Kaiori name and logo, interface design, artwork, 3D environments, characters and written copy, and the chapter and reflection systems — is owned by Kaiori and protected by copyright, trade-mark and other intellectual-property law. We grant you a limited, personal, non-exclusive, revocable and non-transferable licence to use the Service for your own purposes, subject to these Terms.

Except to the extent the law expressly permits, you may not copy, modify, distribute, sell, rent, sublicense or publicly display any part of the Service, create derivative works from it, or reverse-engineer it or attempt to extract its source code. You may capture screenshots or short recordings of Kaiori and share them, including for review or commentary.

If you send us feedback or suggestions, we may use them freely and without obligation or compensation to you.

5. Acceptable use

You agree not to:

We may investigate suspected breaches and may suspend or terminate access where we reasonably believe these Terms have been broken. For serious breaches we may act immediately and explain afterwards.

6. Shared focus rooms

Focus rooms place you in a live environment with other users. You agree not to use them to:

Content in rooms can be reported to us. We may remove it and take action against the account responsible. We do not monitor every room continuously and cannot guarantee that other participants will follow these rules.

7. Not advice, and AI-generated content

Kaiori is a self-development tool. Its plans, prompts, programmes, reflections and wellbeing suggestions are general in nature. They are not medical, psychological, psychiatric, nutritional, legal or financial advice, and they are not a diagnosis or treatment of any condition. Do not use the Service in place of care from a qualified professional, and consult a doctor before starting any new physical training or changing how you manage an existing condition. Kaiori is not an emergency service: if you are in crisis or at risk of harming yourself, contact your local emergency number or a crisis line immediately.

Parts of the Service, including the optional chat feature available to Pro users, are powered by third-party AI models. Their responses are generated automatically, may be inaccurate, incomplete or unsuited to your circumstances, and should be treated as suggestions rather than facts. Kaiori has no knowledge of you beyond the information you choose to enter, and its output is not a substitute for your own judgement or for professional guidance.

8. Subscriptions, pricing and promotional codes

Kaiori is currently provided free of charge during private early access. We may introduce paid features later. If we do, we will publish the price, the billing period and the cancellation and refund terms before charging you, and we will not convert a free account into a paid one without your consent.

Where you purchase through Google Play, your purchase is also governed by Google's terms and billing policies, and refunds are handled through Google where applicable.

Promotional codes are issued at our discretion. They are personal to you, may not be published, sold or transferred, may expire, and may be revoked or reversed where we reasonably believe they are being abused.

9. Third-party services

The Service depends on infrastructure provided by others, including Google Firebase, Google Play, Vercel and Formspree. Those providers' own terms and privacy policies govern the parts they operate. We are not responsible for their acts, omissions, outages or changes, though we select them with care and will tell you if a change materially affects the Service.

10. Availability, changes and termination

You may stop using the Service at any time. To have your data erased, email hi@kaiori.space from the address associated with your account.

We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use creates risk or legal exposure for us or for other users, or where we are required to by law. We may also modify, suspend or discontinue the Service. If we discontinue it entirely, we will give you reasonable notice where practicable and, where feasible, a way to export what you have built.

Clauses 3, 4, 11, 12, 13 and 15 continue to apply after these Terms end.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free or free of harmful components, that it will be available at any particular time, or that using it will produce any particular outcome in your life. You use the Service at your own discretion and risk.

12. Limitation of liability

To the fullest extent permitted by law, Kaiori will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or opportunity, however caused and on any theory of liability, even if we have been advised of the possibility of such loss.

Where liability cannot lawfully be excluded, Kaiori's total aggregate liability arising out of or in connection with these Terms or the Service is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, and (b) INR 1,000.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence. If you are a consumer, nothing in these Terms affects the mandatory rights you have under the consumer-protection law of your country of residence.

13. Indemnity

To the extent permitted by law, you agree to indemnify Kaiori against claims, damages, losses and reasonable costs, including legal fees, arising out of Your Content, your use of the Service, or your breach of these Terms — except to the extent the claim arises from our own breach of these Terms or our own negligence.

14. Changes to these Terms

We may update these Terms. When we do, we will revise the date at the top and, where a change materially affects your rights, notify you in the app or by email before it takes effect. Continuing to use the Service after the effective date means you accept the revised Terms. If you do not accept a change, stop using the Service and ask us to delete your data.

15. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or with the Service, including non-contractual disputes, are governed by the laws of India, without regard to its conflict-of-laws rules.

You and Kaiori submit to the exclusive jurisdiction of the courts of competent jurisdiction in India to resolve any such dispute.

Before starting proceedings, both of us agree to try to resolve the matter informally: write to hi@kaiori.space with a description of the issue and we will try to resolve it in good faith within 30 days. This does not prevent either of us from seeking urgent injunctive relief, or from issuing or defending a claim where a limitation period is about to expire.

Nothing in this clause affects any right you have, as a consumer, to bring proceedings in the courts of your country of residence, or to rely on the mandatory consumer-protection rules of that country.

16. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force. A failure or delay in enforcing a provision is not a waiver of it. You may not assign or transfer these Terms; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Kaiori about the Service, and replace any earlier understanding on the same subject.
